SCW AGENT REFERRAL PROGRAM MEMBERSHIP AGREEMENT
This Agent Membership Agreement ("Agreement") is made and entered into by and between Smart Choice Warranty ("Company") and the individual or entity agreeing to participate as an agent ("Agent"). By enrolling in the Smart Choice Warranty Agent Referral Program ("Program"), the Agent agrees to the following terms and conditions:
1. Enrollment & Eligibility
1.1 The Agent must complete the registration process and be approved by the Company before participating in the Program.
1.2 The Agent must be at least 18 years old and legally authorized to work in their respective jurisdiction.
1.3 The Company reserves the right to approve or deny any application at its discretion.
2. Agent Responsibilities
2.1 The Agent is responsible for promoting Smart Choice Warranty services to potential customers in a professional and ethical manner.
2.2 The Agent agrees not to engage in deceptive, misleading, or fraudulent marketing practices.
2.3 The Agent shall not make any false claims or warranties on behalf of the Company.
2.4 The Agent is responsible for maintaining compliance with all applicable laws and regulations related to referral marketing.
3. Commission & Payment
3.1 The Agent shall receive commission payments based on successful referrals, as determined by the Company’s commission structure.
3.2 Commissions are payable only after the referred customer completes a purchase and remains in good standing for the required period.
3.3 Payments will be made on a scheduled basis as outlined by the Company.
3.4 The Agent is responsible for providing accurate payment information and is responsible for any applicable taxes.
4. Refund & Chargeback Policy
4.1 If a customer referred by the Agent requests a refund within 7 days of purchase, the commission for that referral will be revoked.
4.2 In the event of a chargeback or dispute, the commission may be deducted from future earnings or reclaimed by the Company.
4.3 The Company reserves the right to review and adjust commission payments as necessary.
5. Termination
5.1 Either party may terminate this Agreement at any time with written notice.
5.2 The Company reserves the right to terminate an Agent’s participation in the Program for violations of this Agreement, including but not limited to fraudulent activity or misrepresentation.
5.3 Upon termination, the Agent will forfeit any unpaid commissions that have not met the eligibility requirements.
6. Confidentiality & Non-Compete
6.1 The Agent agrees not to disclose any proprietary or confidential information regarding the Company or its business operations.
6.2 The Agent may not engage in competing warranty sales for a period of 12 months following termination of this Agreement.
7. Limitation of Liability
7.1 The Company shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program.
7.2 The Company makes no guarantees regarding the success or profitability of the Agent’s participation.
8. Amendments & Governing Law
8.1 The Company reserves the right to update or modify this Agreement at any time, with notice provided to the Agent.
8.2 This Agreement shall be governed by the laws of the state in which the Company operates.
AGENT PROGRAM TERMS & CONDITIONS
1. Membership Eligibility:
SCW reserves the right to verify your eligibility at any time and may revoke your membership if eligibility criteria are not met.
2. Membership Benefits:
As a member of the Agent Membership Program, you will have access to a range of benefits, including but not limited to:
- Exclusive access to our comprehensive products.
- Marketing materials and resources to help you promote our service program to your clients.
- Dedicated support from our team to assist you with any inquiries or issues related to our products.
3. Membership Fees:
Membership fees are payable annually in advance and are non-refundable. SCW reserves the right to modify membership fees at any time with prior notice to members.
4. Additional Costs:
Please note that the Agent Membership Program fees do not include certain additional costs, including but not limited to web hosting, domain registration, and high-tier marketing expenses. As an Agent, you will be responsible for covering these fees independently.
5. Payment of Additional Costs:
Agents are expected to pay for any additional costs associated with web hosting, domain registration, and high-tier marketing independently. SCW does not cover these expenses as part of the Agent Membership Program. While the Agent Membership Program provides access to marketing materials and resources, agents may choose to engage in high-tier marketing initiatives such as paid advertising, sponsored promotions, or specialized marketing campaigns. Any costs associated with these marketing activities will be the responsibility of the agent.
6. Use of Membership Benefits:
Membership benefits are for the sole use of the member and may not be transferred or assigned to any third party without prior written consent from SCW.
7. Compliance with Laws and Regulations:
As a member of the Agent Membership Program, you agree to comply with all applicable laws and regulations governing the sale and marketing of warranty products in your jurisdiction.
8. Termination of Membership:
SCW reserves the right to terminate your membership in the Agent Membership Program at any time for any reason, including but not limited to violation of these Terms or for conduct deemed detrimental to the reputation of SCW.
9. Amendments to Terms:
SCW reserves the right to amend these Terms at any time without prior notice. Any amendments will be effective upon posting on our website or other communication channels.
10. Governing Law:
These Terms shall be governed by and construed in accordance with the laws of Indiana without regard to its conflict of law provisions.
11. Acknowledgement:
By enrolling in the Agent Membership Program, you acknowledge and agree to the responsibility of covering these additional costs as outlined above.
12. Acceptance of Terms
By participating in the Smart Choice Warranty Agent Referral Program, the Agent acknowledges that they have read, understood, and agreed to the terms outlined in this Agreement.
